IPO Research

Research Before Allocation

IPO access delivers value only when paired with structured due diligence. TOTEM's research framework covers four critical evaluation dimensions.

Primary Source

S-1 Filing Analysis

Deep-dive into prospectus filings — revenue trends, gross margins, customer cohorts, CAC/LTV ratios, and risk factor review. Understanding the S-1 is the foundation of any IPO allocation decision.

Quantitative

Comparable Valuation

Map implied EV/Revenue and growth-adjusted multiples against sector comps, recent IPO performance data, and private market benchmarks to identify whether offer pricing reflects fair value.

Macro Layer

Market Timing & Sentiment

Layer macro rate outlook, VIX positioning, recent IPO aftermarket return data, and sector rotation signals to time allocation decisions with precision rather than momentum-chasing.

Ongoing

Post-Listing Monitoring

Track lock-up expiry dates, insider selling windows, analyst coverage initiation, and earnings cadence post-IPO. Early monitoring identifies exit or add points before consensus forms.

IPO Education

Understand The Primary Market

Learn the mechanics, risks, and strategies behind IPO participation so investors can evaluate opportunities with clear, realistic expectations.

What Is an IPO?

An Initial Public Offering is a company's first sale of shares to public-market investors, transitioning from private to publicly traded status. Shares are priced by the underwriting syndicate and listed on an exchange — typically NYSE or NASDAQ.

How IPO Allocation Works

Most IPO shares are reserved for institutional investors. Retail access is limited and allocated by broker-dealers through syndicate relationships. Priority typically goes to accounts with consistent engagement, size, and early indication of interest before the subscription deadline.

Lock-Up Periods

IPO participants — including founders, employees, and pre-IPO investors — are typically restricted from selling shares for 90 to 180 days post-listing. Lock-up expiry often creates selling pressure and temporary volatility that informed investors position around.

Key Risks to Understand

IPO investing carries unique risks: limited trading history, uncertain post-listing price discovery, potential overvaluation at offer price, lock-up expiry dilution, and dependence on market conditions at time of listing. Research and position sizing are critical.

IPO Allocation

From Interest To Allocation

TOTEM is positioned around access to selected IPO opportunities, transparent subscription workflows, and portfolio-level monitoring after listing.

  1. Step 1Open and verify a qualified TOTEM brokerage account.
  2. Step 2Review available IPO research materials and opportunity summaries.
  3. Step 3Submit indication of interest (IOI) before the stated subscription deadline.
  4. Step 4Receive allocation confirmation after the book-building process closes.
  5. Step 5Monitor the listing day price action, lock-up dates, and ongoing portfolio exposure.
